Terms of Service

Welcome to AfroFlicks ("AfroFlicks," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the AfroFlicks streaming platform, website, mobile applications, and all related services (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately stop using the Service. These Terms constitute a legally binding agreement between you and AfroFlicks (operated by 11th Icon Assets).

1. Eligibility & Account Registration

1.1 Age Requirement

You must be at least 13 years of age to use the Service. Users between 13 and 17 require parental or guardian consent. By using AfroFlicks, you represent that you meet these age requirements.

1.2 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for all activity that occurs under your account.

1.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@afroflicks.com if you believe your account has been compromised. AfroFlicks is not liable for any loss arising from unauthorized use of your account.

1.4 One Account Per Person

You may not create multiple accounts. Accounts are non-transferable and may not be shared with third parties outside the device limits of your subscription plan.

2. Subscriptions, Billing & Payments

2.1 Subscription Plans

AfroFlicks offers free and paid subscription tiers. Paid plans ("Basic," "Premium") are billed on a monthly or annual basis as selected at checkout. Features vary by plan as described on the Plans page.

2.2 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize AfroFlicks to charge your payment method on a recurring basis.

2.3 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of any price changes via email. Continued use after a price change takes effect constitutes your acceptance of the new price.

2.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused periods unless required by law.

2.5 Refunds

AfroFlicks does not offer refunds except where required by applicable law, or at our sole discretion for first-time subscribers who contact us within 30 days of their first charge and have not made substantial use of the Service.

2.6 Payment Processing

Payments are processed through Stripe. By providing payment information, you agree to Stripe's terms of service. AfroFlicks does not store full payment card details.

3. Content & Intellectual Property

3.1 AfroFlicks Content

All content on the Service — including but not limited to films, series, documentaries, artwork, logos, trademarks, text, and software — is owned by AfroFlicks or licensed from third-party rights holders. This content is protected by copyright, trademark, and other intellectual property laws.

3.2 License to You

Subject to your compliance with these Terms and your active subscription, AfroFlicks grants you a limited, non-exclusive, non-transferable, revocable license to access and stream content for personal, non-commercial viewing purposes only.

3.3 Restrictions

You may not: (a) download, record, copy, reproduce, redistribute, transmit, broadcast, sell, license, or otherwise exploit any content from the Service; (b) use automated tools, bots, or scrapers to access the Service; (c) circumvent any digital rights management (DRM) or encryption measures; (d) use content for commercial purposes without written authorization.

3.4 Filmmaker-Submitted Content

Filmmakers who submit content to AfroFlicks retain ownership of their original works but grant AfroFlicks a worldwide, royalty-free license to host, stream, distribute, promote, and monetize their submitted content on the platform. Filmmakers represent and warrant that they have all necessary rights to submit their content and that it does not infringe any third-party rights.

3.5 User-Generated Content

Reviews, comments, ratings, and other content you submit ("User Content") remain your property, but you grant AfroFlicks a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your User Content in connection with the Service. You are solely responsible for your User Content and must not submit anything that is defamatory, obscene, infringing, or otherwise unlawful.

4. Filmmaker & Ambassador Program Terms

4.1 Filmmaker Registration

To participate as a filmmaker, you must complete registration, accept these Terms, and pay any applicable onboarding fee (currently waived for submissions made before January 1, 2027). AfroFlicks reserves the right to approve, reject, or remove any submission at its sole discretion.

4.2 Filmmaker Earnings

Earnings are calculated on a CPM (cost per 1,000 impressions) basis based on the region of the content audience. CPM rates are set by AfroFlicks and may be updated with 30 days' notice. Earnings are paid monthly subject to minimum thresholds and identity verification requirements. AfroFlicks deducts applicable platform margins as disclosed in the platform configuration.

4.3 Content Standards

All submitted content must: (a) be original or properly licensed; (b) not contain child exploitation material; (c) not promote hate speech, violence, or illegal activity; (d) include accurate metadata (title, rating, synopsis). AfroFlicks may remove any content that violates these standards without prior notice.

4.4 Ambassador Program

Ambassadors earn commissions based on referrals as configured by AfroFlicks. Commission rates may change with 30 days' notice. Ambassadors must not engage in deceptive marketing practices, misrepresent the platform, or violate any applicable law in conducting ambassador activities. AfroFlicks may suspend or terminate ambassador status at any time for violations.

4.5 Tax Responsibilities

Filmmakers and ambassadors are solely responsible for reporting and paying any taxes due on their earnings from AfroFlicks. AfroFlicks may withhold taxes where required by law and will issue applicable tax documents (W-9, W-8BEN, etc.) as required.

5. Advertiser Terms

Advertisers who use the AfroFlicks AdFlicks platform agree to the following additional conditions:

  • All ad creatives must comply with applicable advertising standards and laws.
  • AfroFlicks reserves the right to reject any campaign that is misleading, offensive, or incompatible with our brand values.
  • CPM rates are locked at the time of campaign booking and are not retroactively adjusted.
  • Budgets are charged based on actual ad impressions delivered.
  • Advertiser data (impressions, clicks, spend) is provided in good faith and may be subject to minor measurement variance.
  • Advertisers may not use AfroFlicks data to build competing audience profiles or targeting systems.

6. Prohibited Conduct

You agree not to:

  • Violate any applicable law or regulation in connection with the Service.
  • Impersonate any person or entity or falsely represent your affiliation.
  • Harass, abuse, threaten, or harm other users, filmmakers, or AfroFlicks staff.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Transmit malware, viruses, or any other harmful code.
  • Use the Service to send unsolicited commercial messages (spam).
  • Engage in any activity that interferes with or disrupts the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service in any way that could damage the reputation of AfroFlicks.

Violation of these provisions may result in immediate account suspension or termination without notice or refund.

7. Content Availability & Service Changes

AfroFlicks does not guarantee the availability of any specific content. Titles may be added or removed at any time due to licensing agreements, content standards, or business decisions. The Service is provided "as available" and we do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with or without notice.

8. Disclaimers & Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AFROFLICKS DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFROFLICKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the greater of: (a) the total amount you paid AfroFlicks in the 12 months preceding the claim, or (b) USD $100.

8.3 Indemnification

You agree to indemnify, defend, and hold harmless AfroFlicks and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another person or entity.

9. Digital Millennium Copyright Act (DMCA)

If you believe that content on AfroFlicks infringes your copyright, please send a written notice to our designated agent at support@afroflicks.com with the subject line "DMCA Notice," including:

  • A description of the copyrighted work you claim has been infringed.
  • The URL or location of the allegedly infringing content on AfroFlicks.
  • Your contact information (name, address, email, phone).
  • A statement that you have a good faith belief that the use is not authorized.
  • A statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act on their behalf.
  • Your electronic or physical signature.

AfroFlicks will respond to valid DMCA notices by removing or disabling access to the allegedly infringing content.

10. Governing Law & Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

10.2 Informal Resolution

Before filing a formal legal claim, you agree to attempt to resolve any dispute informally by contacting us at support@afroflicks.com. We will try to resolve the dispute within 30 days.

10.3 Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration in accordance with the arbitration rules of the applicable jurisdiction. You waive the right to participate in class action lawsuits to the fullest extent permitted by law.

10.4 Jurisdiction

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in Ontario, Canada.

11. Termination

AfroFlicks reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms. Upon termination:

  • Your license to use the Service immediately ceases.
  • Pending filmmaker or ambassador earnings may be withheld if termination was due to a violation.
  • You may request a copy of your data within 30 days of termination.
  • Provisions of these Terms that by their nature should survive will survive termination.

12. Third-Party Services & Links

The Service may contain links to third-party websites or services. These are provided for convenience only. AfroFlicks does not endorse and is not responsible for the content, policies, or practices of any third-party service. Your use of third-party services is at your own risk and subject to their terms.

13. Modifications to These Terms

AfroFlicks may update these Terms at any time. We will notify you of material changes by email and/or by posting a prominent notice on the Service at least 14 days before changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel any active subscription.

14. Miscellaneous

  • Entire Agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and AfroFlicks regarding the Service.
  • Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: AfroFlicks may assign its rights under these Terms. You may not assign your rights without prior written consent.
  • No Agency: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and AfroFlicks.
  • Force Majeure: AfroFlicks is not liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, internet outages, or government actions.
